These Terms & Conditions ("Terms") govern your access to and use of act3.app (the "Service"), operated by act3.app ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using act3.app, you agree to these Terms, our Privacy & Cookie Policy, and all applicable laws and regulations. If you do not agree to these Terms, you may not use the Service.

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old.

For users under 18: If you are under 18 years old (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian to use the Service. By using the Service, you represent that your parent or guardian has reviewed and agreed to these Terms.

No collection from children under 13: We do not knowingly collect personal information from children under 13. If we learn we have collected information from a child under 13, we will delete it immediately. Contact us at privacy@act3.app if you believe we have information from a child under 13.

3. Account Registration and Security

Account Creation:
To use certain features of the Service, you must create an account by providing accurate, current, and complete information, including a valid email address.

Authentication:
We use One-Time Password (OTP) authentication for secure access to your account. Each time you log in, you will receive a unique code via email. You do not need to create or remember a password.

Account Security:
You are responsible for:

  • Maintaining the confidentiality of your email account and OTP codes

  • Not sharing OTP codes with anyone

  • All activities that occur under your account

  • Notifying us immediately at support@act3.app of any unauthorized use of your account

  • Ensuring your account information (especially your email address) remains accurate and up-to-date

  • Keeping your email account secure, as it is the primary way to access your act3.app account

Security Best Practices:

  • Do not share OTP codes via text, email, or phone with anyone claiming to be from act3.app

  • We will never ask you for your OTP code

  • Use a secure email provider with strong security features

  • Enable two-factor authentication on your email account for added protection

Account Termination by You:
You may delete your account at any time through your account settings. Upon deletion, your personal data will be deleted or anonymized within 30 days, subject to our data retention obligations.

We are not liable for any loss or damage arising from your failure to maintain account security, the security of your email account, or from unauthorized access to your account


4. Subscriptions, Payments & Refunds

Pricing:
We offer the following membership options:

  • $19.00 Annual Access: One-time payment for 12 months of access

  • $200.00 Annual Membership: One-time payment for 12 months of access with premium features

Payment Processing:
All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

No Auto-Renewal:
Our memberships do not automatically renew. At the end of your membership period, you will need to manually renew if you wish to continue using the Service.

Price Changes:
We reserve the right to change our pricing at any time. Price changes will apply to new purchases and renewals, but will not affect active memberships purchased before the price change.

Refund Policy:

$19.00 Annual Access:

  • All sales are final

  • No refunds available

  • Full access provided for 12 months from purchase date

$200.00 Annual Membership:

  • 30-day money-back guarantee

  • Full refund available if you cancel within 30 days of purchase

  • After 30 days, no refunds for the remaining membership period

  • You may cancel at any time, and access continues through your paid period

How to Cancel:
Use the "Cancel Membership" button in your account settings. Refunds (where applicable) will be processed within 5-7 business days to your original payment method.

Non-Payment & Suspension:
If a payment fails or is declined, we may suspend or terminate your access to the Service until payment is resolved.

Taxes:
You are responsible for any applicable taxes. Prices displayed do not include taxes unless stated otherwise.

5. User Content and Ownership

Your Content:
You retain all ownership rights to the content you create, upload, or share on act3.app, including stories, text, documents, photos, videos, and audio recordings (collectively, "User Content").

License Grant to Us:
By uploading User Content to the Service, you grant act3.app a worldwide, non-exclusive, royalty-free, sublicensable license to:

  • Host, store, and process your User Content

  • Display your User Content to you and contributors you've invited

  • Use technical means (including AI) to organize, format, transcribe, or enhance your User Content

  • Create backups of your User Content for service reliability

  • Use your User Content to provide, maintain, and improve the Service

This license ends when you delete your User Content or account, except where we must retain copies for legal, backup, or technical reasons (typically up to 90 days).

Your Responsibilities:
You represent and warrant that:

  • You own or have the necessary rights to all User Content you upload

  • Your User Content does not violate these Terms or any applicable laws

  • You have obtained all necessary consents and permissions for any content involving other people (including photos, videos, audio, and personal stories)

We Do Not Own Your Stories:
act3.app does not claim ownership of your personal stories, memories, or creative content. The license you grant us is solely to operate the Service, not to exploit your content commercially.

6. Collaboration Features

Story Sharing:
You may invite contributors to add content to your stories. By inviting contributors, you understand that:

  • Contributors can add text, photos, videos, and audio to stories you've shared with them

  • You (as the story owner) have the right to edit or remove contributor content at any time

  • You are responsible for ensuring contributors have consented to participate

Contributor Rights:
If you contribute to someone else's story:

  • You grant the story owner permission to include your contributions in their story

  • The story owner may edit or remove your contributions

  • You retain ownership of your contributions, but they may be included in the story owner's compiled memoir

Consent Required:
You must have permission from all individuals before:

  • Sharing their photos, videos, or audio recordings

  • Including their personal stories or information

  • Inviting them as contributors to a story

You are solely responsible for obtaining necessary consents. We are not liable for disputes arising from shared content.

7. AI Features and Accuracy

AI-Powered Tools:
The Service may use artificial intelligence to:

  • Summarize or organize content

  • Transcribe audio or video recordings

  • Suggest formatting or structure

  • Enhance or improve content quality

No Guarantee of Accuracy:
AI-generated content may contain errors, inaccuracies, or unexpected results. You are responsible for:

  • Reviewing all AI-generated content before using it

  • Verifying the accuracy of transcriptions, summaries, or suggestions

  • Making final decisions about your content

We do not guarantee the accuracy, completeness, or reliability of AI features.

Not Professional Advice:
AI features are for personal memoir creation only and do not constitute professional, legal, medical, or financial advice.

8. Prohibited Conduct and Content

You agree not to use the Service to:

Illegal Activities:

  • Violate any local, state, national, or international law

  • Engage in fraudulent or deceptive practices

  • Facilitate illegal activities

Harmful Content:

  • Upload content that infringes copyright, trademark, or other intellectual property rights

  • Share content containing viruses, malware, or harmful code

  • Post content that harasses, threatens, or bullies others

  • Share non-consensual intimate images or recordings

  • Upload any sexual content involving minors (even artistic or historical content)

  • Share content that promotes violence, terrorism, or hatred

Service Abuse:

  • Attempt to gain unauthorized access to the Service or other users' accounts

  • Interfere with or disrupt the Service's operation

  • Use automated tools (bots, scrapers) without permission

  • Impersonate others or misrepresent your identity

  • Resell, redistribute, or commercialize the Service without authorization

Consequences:
Violation of these rules may result in:

  • Removal of prohibited content

  • Suspension or termination of your account

  • Legal action if warranted

  • Reporting to law enforcement authorities

9. Intellectual Property Rights

Our IP:
The Service, including its design, features, software, trademarks, logos, and all content we create, is owned by act3.app and protected by intellectual property laws.

You may not:

  • Copy, modify, or create derivative works of the Service

  • Reverse engineer or attempt to extract source code

  • Remove or alter copyright notices or branding

  • Use our trademarks without permission

Limited License to You:
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

10. Third-Party Services

The Service integrates with third-party services including:

  • Stripe (payment processing)

  • Supabase (data hosting)

  • Agora (audio/video calls)

  • Cloud storage providers

  • Analytics and advertising platforms (with your consent)

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

11. Disclaimers and Limitation of Liability

Service Provided "As Is":
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free

  • Defects will be corrected

  • The Service is free from viruses or harmful components

  • Results from using the Service will be accurate or reliable

Data Loss:
While we implement backup systems, we are not responsible for any loss, corruption, or unauthorized access to your User Content. You are responsible for maintaining your own backups of important content.

Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACT3.APP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES

  • DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE

  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT

  • STATEMENTS OR CONDUCT OF THIRD PARTIES ON THE SERVICE

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless act3.app and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service

  • Your User Content

  • Your violation of these Terms

  • Your violation of any rights of another person or entity

  • Your violation of any applicable laws

13. Term and Termination

Term:
These Terms remain in effect while you use the Service.

Termination by You:
You may terminate your account at any time by using the account deletion feature or contacting support@act3.app.

Termination by Us:
We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms

  • You engage in fraudulent or illegal activity

  • Your account has been inactive for an extended period

  • We are required to do so by law

  • Continuing to provide the Service would create legal or security risks

Effect of Termination:
Upon termination:

  • Your right to access the Service ends immediately

  • We will delete or anonymize your personal data within 30 days (subject to legal retention requirements)

  • You remain liable for any outstanding payments

  • Sections of these Terms that should reasonably survive (including indemnification, disclaimers, and limitations of liability) will continue to apply

14. Dispute Resolution and Arbitration

Governing Law:
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law provisions.

Informal Dispute Resolution:
Before filing a claim, you agree to contact us at support@act3.app to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 60 days.

Binding Arbitration:
If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising from these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration Terms:

  • Arbitration will be conducted in California, USA (or remotely via video conference)

  • The arbitrator's decision is final and binding

  • Each party bears their own costs unless the arbitrator decides otherwise

  • You may bring claims only on an individual basis, not as part of a class action

Exceptions to Arbitration:
Either party may bring a claim in small claims court if it qualifies. Either party may also seek injunctive relief in court for intellectual property violations or unauthorized account access.

Opt-Out:
You may opt out of arbitration by sending written notice to support@act3.app within 30 days of first accepting these Terms. Your notice must include your name, email, and a statement that you opt out of arbitration.

Class Action Waiver:
You agree to bring claims only in your individual capacity and not as part of any class, consolidated, or representative action. This waiver does not apply where prohibited by law.

15. General Provisions

Entire Agreement:
These Terms, together with our Privacy & Cookie Policy, constitute the entire agreement between you and act3.app regarding the Service.

Severability:
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full effect.

No Waiver:
Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

Assignment:
You may not assign or transfer these Terms or your account. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

Force Majeure:
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

Electronic Communications:
You consent to receive communications from us electronically, including via email or through the Service. Electronic communications satisfy any legal requirement that communications be in writing.

Survival:
Sections that should reasonably survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will continue to apply after these Terms end.
